These Terms of Use ("Terms") form a binding agreement between HEROSAPPS ("we", "us", "our", "Provider") and the organisation that installs or uses the HRMS Hero app for Atlassian Jira Cloud ("you", "Customer", the "App").
1. Acceptance — installation is agreement
By installing, enabling, accessing, or using the App, you accept these Terms in full. If you do not accept them, do not install the App, and uninstall it if it is already installed.
The individual performing the installation represents and warrants that they are authorised to bind the Customer organisation to these Terms. Installation is performed by a Jira site administrator, and that act binds the organisation on whose site the App is installed.
These Terms apply in addition to the Atlassian Marketplace Terms of Use and the Atlassian Cloud Terms of Service, which govern your relationship with Atlassian.
2. Definitions
- "App" — the HRMS Hero Atlassian Forge application, including all modules, interfaces, resolvers, scheduled jobs, exports, and updates.
- "Customer Data" — all data entered into, generated by, derived from, or processed through the App on your Atlassian site, including employee records, timesheets, leave records, approvals, overtime, punch records, organisational structure, and configuration.
- "Authorised User" — any individual you permit to access the App through your Atlassian site.
- "Output" — any calculation, report, metric, export, balance, total, or other result produced by the App.
3. Licence
Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the App on the Atlassian site(s) covered by your subscription, for your internal business purposes only, for the duration of your subscription.
3.1 Restrictions
You must not, and must not permit any person to:
- copy, modify, translate, or create derivative works of the App;
- reverse engineer, decompile, or disassemble the App, or attempt to derive its source code, except to the extent such restriction is prohibited by applicable law;
- rent, lease, lend, resell, sublicense, distribute, or provide the App as a service to any third party;
- circumvent, disable, or interfere with any licensing, security, authorisation, or usage-limitation mechanism, including any attempt to use the App without a valid licence;
- use the App to build a competing product, or to benchmark it for publication without our written consent;
- use the App in violation of any applicable law, or in a manner that infringes the rights of any person;
- use the App to process data categories it is not designed for (see section 5.4).
3.2 Ownership
The App and all intellectual property rights in it remain our exclusive property. These Terms grant a licence only; no ownership, source code, or title transfers to you. All rights not expressly granted are reserved.
You retain all rights in Customer Data. We claim no ownership of it.
4. Fees, licensing, and billing
The App is a paid application distributed through the Atlassian Marketplace. Billing, pricing, invoicing, taxes, refunds, and subscription lifecycle are administered by Atlassian, in accordance with Atlassian's Marketplace terms and the pricing published on the App's listing.
4.1 Licence enforcement
The App verifies the licence status supplied by Atlassian on each operation. If your site does not hold an active licence — because a subscription has lapsed, a trial has expired, or a subscription was cancelled — the App will refuse to operate and will display a notice directing an administrator to subscribe. This is intended behaviour, not a defect, and does not entitle you to any refund or credit.
Your data is not deleted by a licence lapse; it becomes inaccessible through the App until an active licence is restored, subject to Atlassian's retention behaviour.
4.2 Evaluation
Where Atlassian makes an evaluation or trial period available, the App is provided during that period with no warranty of any kind and no support commitment, and may be withdrawn or changed at any time.
5. Your responsibilities — allocation of risk
This section is fundamental to the bargain between us. The App is a tool. You direct its use, you supply its inputs, you configure its rules, and you decide what to do with its outputs. Accordingly, responsibility for those matters rests with you, and the licence fee is set on that basis.
5.1 You are the data controller
You are the controller of all Customer Data. You are solely responsible for:
- establishing and maintaining a lawful basis for processing every category of personal data you put into the App;
- providing all required notices to, and obtaining any required consents from, your employees, contractors, and other data subjects;
- responding to data subject requests (access, rectification, erasure, portability, objection);
- the accuracy, quality, legality, and completeness of Customer Data;
- complying with all applicable employment, labour, working-time, payroll, tax, immigration, data protection, and record-keeping laws in every jurisdiction in which you operate.
We act only as a processor, on your instructions, and have no visibility into or control over what data you enter or why.
5.2 You are responsible for decisions made using the App
The App does not make employment, disciplinary, payroll, compensation, or legal decisions. You do.
You are solely responsible for every decision you or your personnel take on the basis of any Output, including decisions about pay, overtime entitlement, leave entitlement, attendance, performance, promotion, discipline, or termination. You must apply independent human judgement and comply with all applicable law and collective agreements before acting on any Output.
5.3 You must verify Outputs before relying on them
You acknowledge that the App performs automated calculations from data you supply and rules you configure, and that such calculations depend entirely on the correctness of both. You must independently verify any Output before using it for payroll, statutory reporting, financial reporting, or any other purpose with legal or financial consequence.
You specifically acknowledge, without limitation, that:
- Leave balances, accruals, overtime totals, expected hours, and timesheet compliance figures are computed from your configuration (policies, calendars, weekends, working hours, approval chains, cost bands). Misconfiguration produces incorrect results.
- Average clock-in and clock-out figures are arithmetic means of daily first-in and last out times measured from local midnight. This is not a circular mean, and figures are therefore skewed for shifts that cross midnight. This is a documented characteristic of the metric, not a defect.
- Timesheet period lock integrity is a detective control, not a preventive one. Jira worklogs can be edited natively, outside the App's workflow. Where such an edit occurs inside a locked period, the App raises an exception record and notifies HR, and preserves the locked totals — but it cannot prevent the underlying edit. You are responsible for acting on those exceptions.
- Reports and exports reflect data at the time of generation and may be truncated where a result exceeds the App's row ceiling, in which case the App marks the result as truncated.
5.4 You must not enter regulated data the App is not designed for
The App is not designed, tested, or certified to store salary or compensation figures, bank or payment details, medical or health information, government identifiers, or identity-document data. It provides no facility for them.
You must not enter such data into any field of the App, including free-text fields. If you do, you do so entirely at your own risk and accept full responsibility for all consequences, including any regulatory exposure, and you will indemnify us in accordance with section 9.
5.5 You control access and configuration
You are responsible for:
- Jira group membership, which determines every app role and therefore every permission in the App;
- the configuration of approval chains, approvers, fallback approvers, policies, calendars, and cost bands;
- user activation and deactivation, and the consequences of either;
- the security of the export feed token, and of any system you connect to the export endpoint — anyone holding that token can retrieve data through it;
- the acts and omissions of all Authorised Users, as if they were your own.
5.6 Backups
You are responsible for maintaining your own backups and records. Nothing in the App is a substitute for your own retention and business-continuity arrangements.
6. Not professional advice
The App and all Output are provided for informational and administrative purposes only and do not constitute legal, employment, tax, payroll, accounting, financial, or human-resources advice. No lawyer-client, accountant-client, or advisory relationship arises from your use of the App. Consult qualified professionals in your jurisdiction before acting on any Output.
7. Disclaimer of warranties
The App is provided "as is" and "as available", without warranty of any kind.
To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement.
Without limiting the foregoing, we do not warrant that:
- the App will be uninterrupted, timely, secure, or error-free;
- any Output will be accurate, complete, current, or suitable for any particular purpose;
- defects will be corrected;
- the App will meet your requirements or comply with the law of any particular jurisdiction;
- the App will remain compatible with any future version of Jira, Atlassian Forge, or any Atlassian API.
7.1 Dependence on Atlassian
The App runs entirely on Atlassian infrastructure. Its availability, performance, data storage, data residency, and continued operability depend on Atlassian services outside our control. We are not responsible for any unavailability, degradation, data loss, deprecation, breaking change, or discontinuation attributable to Atlassian or to your own Atlassian configuration.
8. Limitation of liability
To the maximum extent permitted by applicable law:
8.1 Excluded losses
We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, anticipated savings, or data, however caused and on any theory of liability, whether or not we have been advised of the possibility of such loss.
8.2 Specifically excluded matters
We will not be liable for any loss or claim arising from or relating to:
- any employment, payroll, compensation, disciplinary, or termination decision made using the App;
- any inaccuracy in Output caused by your data, your configuration, or your failure to verify;
- any regulatory penalty, fine, or enforcement action arising from your processing of personal data or your compliance obligations;
- any unauthorised access obtained through credentials, tokens, or group memberships under your control, including the export feed token;
- any act or omission of Atlassian or any other third party;
- your entry of regulated data the App is not designed for (section 5.4);
- any loss of access resulting from licence lapse, expiry, or cancellation.
8.3 Aggregate cap
Our total aggregate liability arising out of or relating to the App and these Terms, across all claims combined, will not exceed the total fees you actually paid for the App in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred United States dollars (USD 100) if no fees were paid.
8.4 Mandatory exceptions
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that applicable law does not permit to be excluded. Where a jurisdiction does not allow certain exclusions or limitations, those provisions apply only to the extent permitted, and the remainder stays in force.
8.5 Allocation of risk
You acknowledge that the disclaimers and limitations in sections 7 and 8 are a fundamental basis of the bargain, that the fees for the App reflect this allocation of risk, and that we would not make the App available on these commercial terms without them.
9. Indemnity
You will defend, indemnify, and hold harmless HEROSAPPS, its officers, directors, employees, contractors, and agents from and against any claim, demand, action, proceeding, loss, liability, damage, fine, penalty, cost, and expense (including reasonable legal fees) arising out of or relating to:
- your use or misuse of the App;
- Customer Data, including its content, accuracy, and legality;
- your breach of these Terms or of any applicable law;
- any employment or labour dispute, grievance, or claim brought by any of your employees, contractors, or their representatives in connection with the App or any Output;
- any data protection claim or regulatory action relating to data you processed through the App;
- your entry of regulated data contrary to section 5.4;
- any act or omission of your Authorised Users.
We will notify you of any such claim, permit you to control the defence (provided you do so diligently and do not settle in a way that imposes obligations on us without our consent), and provide reasonable cooperation at your expense.
10. Support and updates
We provide support on a commercially reasonable-efforts basis via support@herosapps.com and any channel published on the App's Marketplace listing. Unless separately agreed in writing, no specific response time, resolution time, uptime, or service level is promised.
We may modify, update, add to, or remove features of the App at any time. We will take reasonable steps to avoid materially reducing core functionality during a paid subscription term, but the App will evolve, and we may be required to change it to remain compatible with Atlassian's platform.
11. Confidentiality
Each party will protect the other's confidential information with at least reasonable care and use it only as needed under these Terms. This does not apply to information that is public through no fault of the receiving party, was already lawfully known, is independently developed, or must be disclosed by law.
12. Term, suspension, and termination
12.1 Term
These Terms apply from installation until the App is uninstalled or your subscription ends.
12.2 Termination and suspension
We may suspend or terminate your licence with immediate effect if you materially breach these Terms — including any attempt to circumvent licensing, any prohibited use under section 3.1, or non-payment administered through Atlassian.
You may terminate at any time by cancelling your subscription and uninstalling the App.
12.3 Effect of termination
On termination, your licence ends and you must cease all use of the App. Handling of Customer Data following uninstallation is described in the Privacy Policy and is governed by Atlassian's platform behaviour. Export any data you need before uninstalling.
Sections 3.2, 5, 6, 7, 8, 9, 11, 13, and 14 survive termination.
13. General
- Governing law. These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict-of-laws rules.
- Disputes. The courts of Detmold, Germany have exclusive jurisdiction, subject to any non-waivable right you have to bring proceedings in your local courts.
- Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control, including infrastructure or third-party platform failure.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is held unenforceable, it is modified to the minimum extent needed to make it enforceable, or severed, and the remainder stays in effect.
- No waiver. Failure to enforce any provision is not a waiver of it.
- Entire agreement. These Terms, together with the Privacy Policy and the applicable Atlassian Marketplace terms, are the entire agreement between us regarding the App and supersede all prior discussions.
- Changes. We may update these Terms. Material changes will be published with the App's Marketplace listing and reflected in the effective date. Continued use after a change takes effect constitutes acceptance. If you do not accept a change, uninstall the App.
- Relationship. Nothing here creates a partnership, joint venture, agency, or employment relationship between the parties.
